Winchester Highlanders Road Running Club

 

Article 1. Name. The name of the organization shall be Winchester Highlanders Road Running Club.

Article 2. Purpose. The primary purpose of the Club is to encourage participation in road running and help each individual member develop to their best potential.

Article 3. Non-Profit Statement. The Club is a non-profit organization. Dues and any other monies received by the Club will be disbursed solely for carrying out the stated purposes of the Club. In the event of the dissolution of this Club, the funds in the Treasury, after all creditors have been paid, shall go to the Winchester Sports Foundation.

Article 4. Membership. Membership is open to all persons. The structure of membership categories and corresponding dues shall be decided at the Annual Meeting.

Article 5. Annual Meeting. The Annual Meeting of this Club shall be held in September of each year at such time and place as may be fixed by the Executive Board. Written notice shall be sent to all members within a reasonable time before the Annual Meeting.

(a) Order: The current Roberts Rules of Order are the general rule of order, except when they are in conflict with the provisions of these By-Laws, in which case these By-Laws shall prevail.

(b) Quorum: The presence of Eight (8) percent of the members shall constitute a quorum.

(c) Voting: Each individual person whose membership is in good standing shall have one vote.

(d) Minutes: The Recording Secretary shall submit a copy of the minutes thereof to the President within fifteen (15) days following the Annual Meeting, and shall have them available for distribution or publication.

Article 6. Officers of the Club. The officers of the Club shall be: a President, a Vice-President, a Treasurer, a Recording Secretary, a Membership Secretary, and any other officers elected at the Annual Meeting, and serve through the following Annual Meeting. There is no limit to the number of consecutive terms that an officer may serve. If an officer becomes incapacitated or resigns for any reason, the Executive Board may appoint a successor to complete the term. Any unfilled office shall not restrict normal Club activities.

Article 7. Duties of Officers. The duties of the officers of the Club shall be those promulgated from time to time by the Executive Board and, in addition are as follows:

(a) President. The President shall preside at all meetings of the Club.

(b) Vice-president. The Vice-president shall perform such duties as shall be assigned to him/her by the President.

(d) Recording Secretary. The Recording Secretary shall make proper arrangements for keeping the records of the Club.

(e) Membership Secretary. The Membership Secretary shall maintain all membership records for the Club.

Article 8. Executive Board. The Executive Board of the Club shall be composed of the Oficers of the Club and the immediate past President of the Club. All such members shall have one vote at the meetings of the Executive Board, and no individual shall have more than one vote. All past Presidents of the Club shall be EX OFFICIO members of the Executive Board, without voting rights. Any Club member may attend a meeting of the Executive Board in a non-voting capacity. The Executive Board shall have the power to act for the Club.

(a) Meetings: Meetings of the Executive Board shall take place every month at a time and location to be determined by the Executive Board. If in any month, a meeting is not held, the President shall set a time and location for the next meeting. Notice shall be sent to each voting member at least Twenty-Five (25) percent of the Executive Board shall constitute a quorum.

Article 9. Amendments. These bylaws may be amended or repealed by a two-thrds vote of those members present and voting at the Annual Meeting (provided that notice of such proposed change(s) shall be contained in written notice of the Annual Meeting and that such notice shall contain the texts of both the old and the proposed provisions )
